The Internet site piAccess.com (the "Site") is owned and operated by Pragmaticomm Limited trading as piAccess ("piAccess") for the purpose of providing information and support for piAccess's products and services (the "Purpose").

The Terms constitute the entire agreement between you, the user ("You") and piAccess and govern Your use of the Site, superseding any prior agreements.

By using the Site, You warrant to piAccess that You will not use the Site, or any of the content obtained from the Site, for any purpose that is unlawful or prohibited by these Terms. If You violate any of these Terms, Your permission to use the Site automatically terminates.

Registration obligations

When requested, You agree to provide true, accurate, current and complete information on the Site's registration form(s) and to maintain and promptly update the Registration Data as necessary to keep it true, accurate, current and complete. If piAccess has reasonable grounds to suspect that Your information is untrue, inaccurate, not current or incomplete, piAccess may suspend or terminate Your account and prohibit any and all current or future use of the Site (or any portion thereof) by You.

You are wholly responsible for maintaining the confidentiality thereof and wholly liable for all activities occurring thereunder. piAccess cannot and will not be liable for any loss or damage arising from Your failure to comply with this; immediately notify piAccess of any unauthorized use of Your password or account or any other breach of security; and ensure that You exit from Your account at the end of each session.

piAccess handles Your data in accordance with the Site's Privacy Policy .

Content

Any Content (text, messages, data, software or any other materials whatsoever) that You upload, post, email or otherwise transmit via the Site is Your sole responsibility.

You shall not transmit Content or otherwise conduct or participate in any activities on the Site that, in the judgment of piAccess, is likely to be prohibited by law in any applicable jurisdiction. piAccess shall have the right (but not the obligation) to refuse or delete any Content of which it becomes aware and reasonably deems not to fulfill the Purpose or to violate the Terms or the law of any applicable jurisdiction. piAccess, in its sole and absolute discretion, may preserve Content and may also disclose Content if required to do so by law or judicial or governmental mandate or as reasonably determined useful by piAccess to protect the rights, property, or personal safety of the Site's users and the public.

piAccess retains ownership of statistical content which is generated by the site to monitor and display content activity.

Termination

piAccess may terminate Your account at piAccess's absolute discretion and for any reason, including, but not limited to: violation of these Terms; abuse of site resources or attempt to gain unauthorized entry to the site or site resources; use of the Site in a manner inconsistent with the Purpose; Your request for such termination; or as required by law, regulation, court or governing agency order.

piAccess's termination of Your access to the Site may be effected without notice and, on such termination, piAccess may immediately deactivate or delete Your account and/or bar any further access to the Site. piAccess shall not be liable to You or any other third party for any termination of Your access or account. Termination may result in deactivation but not necessarily deletion of the account. piAccess reserves the right to delete, or not delete, Your account and/or content at piAccess's sole discretion.

Indemnity

You shall indemnify, defend and hold harmless piAccess, Pragmaticomm Limited, and its respective officers, employees and agents, from any and all claims, demands, damages, costs, and liabilities including reasonable attorneys' fees, made by any third party due to or arising out of Your acts or omissions, including claims arising out of Your use of the Site; Your submission, posting or transmission of Content or Your violation of the Terms.

Governing Law

These Terms and the relationship between You and piAccess shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the English courts.

If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
